Preamble
Please read these terms carefully before using NavisTeams. By creating an account or using the Platform, you agree to be bound by these terms. If you do not agree, do not use the Platform.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Skyros Properties LLC, doing business as NavisTeams ("NavisTeams," "we," "us," or "our"), governing your use of the NavisTeams workforce management platform accessible at app.navisteams.com (the "Platform"). These Terms apply to all users including organization owners, administrators, managers, and employees.
2. Definitions
- "Organization" means the business entity that creates a NavisTeams account and subscribes to the Platform
- "Administrator" means a user with owner or admin-level access who manages the Organization's account
- "Employee User" means a user invited by an Administrator to access the Platform as a team member
- "Content" means any data, text, files, documents, information, or materials submitted to the Platform
- "Subscription" means the paid or trial access plan selected by the Organization
3. Eligibility
You must be at least 18 years of age to create an account or serve as an Administrator. Employee Users may be minors only where permitted by applicable law and only when their employer (the Organization Administrator) has complied with all applicable minor employment and data privacy laws. By using the Platform, you represent that you have the legal authority to enter into these Terms on behalf of yourself or your Organization.
4. Accounts and Access
4.1 Account Creation
Organizations must provide accurate and complete registration information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
4.2 Organization Administrators
Administrators are responsible for:
- Managing user access and permissions within their Organization
- Ensuring Employee Users are informed of the Platform's use and applicable data practices
- Configuring the Platform in compliance with applicable laws
- All Content submitted by users within their Organization
4.3 Account Security
You must notify us immediately at support@navisteams.com if you suspect unauthorized access to your account. We are not liable for losses resulting from unauthorized account use due to your failure to maintain credential security.
5. Subscriptions and Billing
5.1 Plans
NavisTeams offers subscription plans on a per-location basis. Current pricing is available at navisteams.com/pricing. Plans include Core, Pro, and Fleet (enterprise) tiers.
5.2 Payment
Subscriptions are billed in advance on a monthly or annual basis. All fees are in USD and are non-refundable except as required by applicable law or as expressly stated in these Terms.
5.3 Trials
Free trial periods (if offered) automatically convert to paid subscriptions at the end of the trial unless cancelled. We will provide notice before trial conversion.
5.4 Price Changes
We may change subscription prices with 30 days' written notice. Continued use after the price change effective date constitutes acceptance of the new pricing.
5.5 Late Payment
Unpaid accounts may be suspended after 10 days and terminated after 30 days of non-payment. We will attempt to notify you before suspension.
6. Acceptable Use
You agree not to use the Platform to:
- Violate any applicable federal, state, or local law or regulation
- Facilitate illegal employment practices including wage theft, unlawful scheduling, or child labor violations
- Discriminate against employees on the basis of race, color, religion, sex, national origin, age, disability, or any other protected characteristic
- Upload or transmit malware, viruses, or malicious code
- Attempt to gain unauthorized access to any part of the Platform or other users' accounts
- Scrape, copy, or reverse-engineer the Platform
- Use the Platform to harass, threaten, or harm any individual
- Circumvent or disable any security or access control features
- Use the Platform in any way that could damage, disable, or impair our systems
7. Content and Data Ownership
7.1 Your Content
You retain all ownership rights to Content you submit to the Platform. By submitting Content, you grant NavisTeams a limited, non-exclusive, royalty-free license to store, process, and display your Content solely as necessary to provide the Platform's features.
7.2 Our Content
The Platform, including its software, design, features, and documentation, is owned by NavisTeams and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.
7.3 No Sale of Data
We do not sell your Content or personal information to third parties. We use your data solely to operate and improve the Platform as described in our Privacy Policy.
7.4 Aggregate Data
We may use anonymized, aggregated, non-identifying data derived from your use of the Platform for product improvement and analytics purposes.
8. Artificial Intelligence Features
8.1 AI-Powered Features
The Platform includes AI-powered features including natural language reporting, AI Form Builder, performance ranking insights, and marketing calendar parsing. These features are powered by the Anthropic Claude API.
8.2 No Professional Advice
AI-generated outputs are provided for informational and operational convenience purposes only. They do not constitute legal advice, HR advice, employment law guidance, financial advice, or medical advice. You should not rely solely on AI-generated content for compliance, disciplinary, or legal decisions. Always consult qualified professionals for such matters.
8.3 Accuracy
AI-generated content may contain errors, omissions, or inaccuracies. You are solely responsible for reviewing, validating, and acting on any AI-generated content.
8.4 Input Responsibility
You are responsible for ensuring that any content you submit to AI features does not include confidential information beyond what is necessary for the feature's purpose, and that you have the right to submit such content.
9. Labor Law Compliance
9.1 Employer Responsibility
NavisTeams provides tools designed to assist with workforce management and scheduling compliance. However, Organization Administrators are solely responsible for ensuring their use of the Platform complies with all applicable federal, state, and local labor laws, including but not limited to:
- Fair Labor Standards Act (FLSA)
- California Labor Code and IWC Wage Orders
- California Overtime laws
- Minor employment and child labor laws (federal and state)
- Predictive scheduling ordinances
- Break and meal period requirements
- WARN Act notification requirements
9.2 No Legal Compliance Guarantee
NavisTeams does not guarantee that use of the Platform will result in compliance with any law or regulation. Platform features such as minor-hour tracking, break compliance alerts, and overtime flags are tools to assist — not replace — your obligation to comply with applicable law.
10. Third-Party Integrations
The Platform integrates with third-party services including Google, Zoom, Intuit QuickBooks Online, Microsoft Teams, Square, and Roller. Your use of these integrations is subject to the respective third-party's terms of service and privacy policies. NavisTeams is not responsible for the availability, accuracy, or practices of any third-party service.
10a. Marketing Data and Communications
10a.1 NavisTeams Marketing to You
By creating an account, you agree to receive transactional communications related to your account. You may opt out of promotional marketing communications at any time. We will never use your workforce operational data (timesheets, schedules, employee records, HR documents) to market NavisTeams products to you or any third party.
10a.2 Your Marketing Activities via the Platform
The Platform includes a Marketing Calendar feature that allows your organization to plan, schedule, and manage marketing campaigns, promotions, and events. When using this feature:
- You are solely responsible for ensuring your marketing activities comply with applicable laws including CAN-SPAM Act, TCPA (for SMS), GDPR (if operating in the EU), and California's CCPA/CPRA
- NavisTeams is not responsible for the content, legality, or outcomes of any marketing campaigns you plan or execute using the Platform
- AI-generated marketing action items, campaign suggestions, and event extractions are provided for planning convenience only and do not constitute marketing advice
10a.3 SMS Marketing Compliance
If your organization connects SMS tools (including SlickText or similar platforms) through or alongside NavisTeams:
- You represent and warrant that you have obtained all required consents from recipients before sending any marketing text messages
- You agree to maintain opt-out records and honor unsubscribe requests immediately
- You are solely liable for any TCPA violations, FCC regulations, or state law violations related to your SMS marketing activities
- NavisTeams disclaims all liability for SMS campaigns executed by your organization
10a.4 No Marketing Data Monetization
NavisTeams does not monetize your marketing calendar data, campaign data, customer lists, or any data you enter into the Platform's marketing features. This data belongs to your organization and will never be used for NavisTeams's own marketing purposes or sold to third parties.
11. Availability and Uptime
We strive to maintain Platform availability but do not guarantee uninterrupted access. We may perform maintenance, updates, or experience outages. We are not liable for any loss or damage resulting from Platform downtime. We will endeavor to provide advance notice of scheduled maintenance.
12. Data Export and Portability
Upon request, we will provide you with an export of your Organization's data in a standard format (CSV or JSON) within 30 days. Data export requests can be submitted to support@navisteams.com.
13. Termination
13.1 By You
You may cancel your subscription at any time through your account settings or by contacting support@navisteams.com. Cancellation takes effect at the end of the current billing period.
13.2 By Us
We may suspend or terminate your account immediately if you: (a) violate these Terms; (b) fail to pay subscription fees; (c) engage in fraudulent or illegal activity; or (d) use the Platform in a way that harms other users or NavisTeams.
13.3 Effect of Termination
Upon termination, your right to access the Platform ceases. We will retain your data for 30 days post-termination to allow export, after which it will be permanently deleted per our retention policy.
14. Disclaimer of Warranties
The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted access. We do not warrant that the Platform will be error-free or that defects will be corrected.
15. Limitation of Liability
To the maximum extent permitted by applicable law, NavisTeams and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising out of or related to your use of the Platform, even if advised of the possibility of such damages. Our total liability to you for any claim arising out of these Terms or your use of the Platform shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
16. Indemnification
You agree to indemnify, defend, and hold harmless NavisTeams and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your Content; (c) your violation of these Terms; (d) your violation of any applicable law; or (e) your violation of any third party's rights.
17. Dispute Resolution and Arbitration
17.1 Informal Resolution
Before initiating any formal dispute, you agree to contact us at legal@navisteams.com and attempt to resolve the dispute informally for at least 30 days.
17.2 Binding Arbitration
If informal resolution fails, any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. Arbitration shall take place in California. The arbitrator's decision shall be final and binding.
17.3 Class Action Waiver
You waive any right to participate in class action lawsuits or class-wide arbitration against NavisTeams.
17.4 Exceptions
Nothing in this Section prevents either party from seeking injunctive or other equitable relief in court for intellectual property infringement or unauthorized access to the Platform.
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Subject to the arbitration agreement above, you consent to the exclusive jurisdiction of courts located in California for any disputes not subject to arbitration.
19. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or prominent notice on the Platform at least 30 days before the effective date. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
20. Miscellaneous
- 20.1 Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and NavisTeams regarding the Platform.
- 20.2 Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force.
- 20.3 Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
- 20.4 Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- 20.5 Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
